OneASICS Terms and Conditions

THESE ONEASICS TERMS AND CONDITIONS (“TERMS”) ARE A LEGAL CONTRACT BETWEEN YOU (“YOU”, “YOUR”) AND ASICS INDIA PRIVATE LIMITED (“ASICS”, "COMPANY", “US”, “WE” “OUR”) AND GOVERN YOUR ENROLLMENT IN, ACCESS TO, PARTICIPATION IN, AND USE OF THE ASICS’ ONEASICS PROGRAM (“ONEASICS” OR “PROGRAM”).
PLEASE READ THESE TERMS CAREFULLY, AS THEY AFFECT YOUR LEGAL RIGHTS. BY ENROLLING IN, ACCESSING, PARTICIPATING IN, OR USING THE ONEASICS PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS, WHETHER OR NOT YOU FORMALLY REGISTER AS A MEMBER. THESE TERMS GOVERN HOW CLAIMS AGAINST THE COMPANY MAY BE BROUGHT AND RESOLVED, INCLUDING, TO THE EXTENT PERMITTED BY LAW, CLAIMS ARISING PRIOR TO THE EFFECTIVE DATE. BY AGREEING, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPTED THESE TERMS AND THEIR LEGAL CONSEQUENCES. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE PROGRAM AND ANY RELATED WEBSITES OR SERVICES.
Introduction
The OneASICS Program is a free membership program operated by ASICS in India. No purchase is needed to join. Members get access to exclusive offers, rewards, product previews, and other benefits that ASICS may announce from time to time. These Terms are a binding agreement between you and ASICS. They work together with ASICS’ Website Terms of Use (India) and Privacy Policy. In case of conflict, these Terms will prevail.
ASICS may place limits on features, suspend or terminate membership, or change Program benefits at any time, with or without notice. By enrolling, accessing, or using the Program, you agree to be bound by these Terms and any additional rules (such as contest or promotion rules). If you disagree, you must stop using the Program.
Sometimes, separate “Additional Terms” will apply, for example for contests, or promotional campaigns. These Additional Terms will work alongside these Terms, but if there is a conflict, the Additional Terms will usually control.
1. Eligibility
To participate in the Program, you must, at the time of Program enrollment;
(i) Be at least 18 years old, or at least 16 years old with parent/guardian consent.
(ii) Have a valid, active, and unique email address.
(iii) Be a legal resident of India and physically located in India.
ASICS employees and representatives may join but might be excluded from certain offers or promotions. Membership is for individuals only, limited to one account per person, and cannot be sold, transferred, assigned, or merged with other accounts. Shared, company, or group accounts are not permitted. Membership cannot be used to source inventory for resale. Parents/guardians enrolling minors confirm they provide the minor’s information and accept the Terms on their behalf. ASICS may disqualify or remove members for fraud, abuse, resale, or violation of these Terms or other policies. Members are responsible for keeping their email and contact details updated in their account.
2. Program Sign-Up
To become a Program Member, eligible individuals may sign-up for this Program by visiting the Program registration page and following the instructions on the sign-up form to create an account. Once registered, you will receive a Member Account, where you can track your participation, activities, and benefits. Membership is personal and non-transferable. Membership is limited to one (1) account per individual and no joint or shared Member Accounts are permitted. By registering, you confirm that the information you provide is accurate, complete, and current. If false or misleading information is given, or if ASICS has reason to believe there is a violation of these Terms, your account may be suspended or terminated.
ASICS at its sole discretion, without advance notice or liability reserves the right to:
(i) Deny membership applications.
(ii) Suspend or terminate accounts.
(iii) Cancel orders or restrict access to benefits.
By signing up, you agree to all Program rules and ASICS decisions, which are final and binding.
3. Benefits
Members may receive different types of benefits, including:
- Special offers and discounts.
- Free trials or previews of products.
- Invitations to events, or promotions.
Benefits are promotional only, have no cash value, and cannot be redeemed for money or credit. They cannot be transferred, inherited, or sold. ASICS can add, change, or remove benefits at any time without prior notice.
A. Award for Benefits and Availability
Once earned and verified, the Benefits will appear in your account. ASICS does not guarantee any specific benefit will be available at any time. Availability may depend on your location, age, or compliance with other rules. Benefits will not be awarded unless and until a member is confirmed and the verification process is complete, in ASICS’ absolute discretion. ASICS makes no representations, warranties, or guarantees that any particular Benefit will be (or will continue to be) available or offered in the Program. We expressly reserve the right to limit, in our sole discretion, any Benefits awarded. We also reserve the right to deny Benefits if we believe that they have been generated or obtained fraudulently or through any other manner that is a violation of or prohibited by these Terms
B. Forfeiture of Benefits
Benefits may expire under these conditions:
(i) On the date stated in the promotion or Additional Terms.
(ii) If your Member Account is deactivated or terminated.
(iii) If ASICS ends the Program.
Any Benefits remaining in a Member Account thirty (30) days after the stated expiration of the Benefit or ASICS’ termination of the Program will be void and forfeited without compensation to you. ASICS reserves the right to disqualify and/or terminate any Member (or Members) that it reasonably believes, in its sole discretion, to have engaged in any actual or suspected fraud or abuse of Program privileges or has violated all or any portion of these Terms, at any time. Expired or forfeited benefits cannot be reinstated. ASICS may also terminate accounts and forfeit benefits in cases of suspected fraud, abuse, or violation of rules.
C. Account Interaction
Members must keep their Member Accounts active to earn Benefits and interaction is required for a Member Account to remain active. To remain active, you must interact with your Member Account at least once every 24 months (e.g., by logging in, making a purchase, completing a survey, or other qualifying activity). If your account is inactive for 24 months, it will be deactivated and all unused benefits will be void and forfeited, without notice to you. Benefits may also have their own expiration periods stated in Additional Terms. It is your responsibility to monitor your account and remain active. ASICS may send reminders but is not obligated to do so.
D. Member-Required Disclosures; Representations and Warranties
Members receiving benefits such as early access or incentives must follow ASICS advertising and influencer rules when posting about ASICS online. This includes:
(i) Being honest and not misleading in your statements.
(ii) Speaking only for yourself, not on behalf of ASICS.
(iii) Keeping content appropriate for a family audience.
(iv) Complying with the rules of third-party platforms.
You must not post unlawful, infringing, or offensive content. If ASICS believes you posted inappropriate content, they can require you to remove it immediately.
4. Use of Member Account
As a Member, you are responsible for your account, and everything done under it. That means:
(i) Providing true, accurate, and up-to-date personal information.
(ii) Keeping your login details secure and private.
(iii) Using the account only for personal purposes, not sharing, selling, or trading it.
If someone else uses your account because you failed to protect it, you are responsible. You must immediately inform ASICS Customer Service of any unauthorized use of your password or Member Account or any other breach of security.
You must not:
(i) Reproduce, sell, transfer, or exploit your account for commercial purposes.
(ii) Interfere with, damage, or disrupt the Program.
(iii) Abuse or misuse your account (fraud, bots, viruses, harassment, infringement).
(iv) Sell, trade, or barter any of your Benefits or Member exclusive promotional offers.
ASICS may investigate suspicious activity and seek damages if necessary.
5. Our Rights
Each Member agrees that ASICS has the right, at its sole discretion, to:
(i) Modify, suspend, or cancel the Program at any time.
(ii) Decide how the Program is run and enforced.
(iii) Make final and binding determinations on eligibility and Benefits.
(iv) Terminate or suspend Members for violations of the Terms.
ASICS reserves the right to interpret and apply the policies and procedures communicated in these Terms in its sole discretion.
6. Termination; Changes to the Program
You may cancel your membership anytime, but your account and Benefits will be forfeited. Please note that if you cancel your Member Account, your Member Account and all associated and accumulated Benefits will be forfeited without compensation to you. If you choose to rejoin the Program at a later date by registering on the Website, you will be eligible to earn Benefits again, however any previously-earned Benefits will not continue or transfer over to your new Membership.
ASICS may suspend or terminate your membership if you are ineligible, violated the Terms, commit fraud, or abuse the Program. Benefits linked to terminated accounts are void.
As the program evolves, we may make changes to the Program and/or these Terms from time to time, at our sole discretion (if, for example, there is a change in the law that necessitates a change to these Terms), without prior notice and in accordance with applicable law. ASICS may change or end the Program at any time. Significant changes will be notified in advance.
Each time you sign in to your Member Account or otherwise use the Program, you are entering into a new agreement with us on the then-applicable Program Terms and you agree that we may notify you of such other Terms by posting them on the Program home page (or in any other reasonable manner of notice which we elect) and that your continued use of and participation in the Program after such notice constitutes your acknowledgement of and consent to the revised Terms, or other aspect of the Program. Therefore, you should review these Terms regularly (at least prior to each transaction or submission) to ensure that you understand the most up-to-date terms that apply in relation to your Membership.
7. User Content
Members may share or post content (reviews, feedback, images, etc.) as part of their participation in the Program. You must submit lawful, non-infringing, non-offensive content that you have the rights to share. ASICS may use, reproduce, or distribute your submitted content for promotional or other purposes. Improper, harmful, or infringing content may lead to suspension or termination of your Membership. ASICS has no obligation to monitor or enforce your intellectual property rights to your User Content, but you grant us the right to protect and enforce our rights to your User Content.
8. Intellectual Property
All rights, titles, and interests in the Program, Website, and related content remain with ASICS or its licensors. Members are granted a limited, personal, non-transferable right to access and use the Program for personal purposes only. Unauthorized use, reproduction, or distribution of Program materials is prohibited.
9. Disclaimers
Your access to and use of the Program is at your The Program is provided 'as-is' and 'as available.' ASICS and its representatives make no warranties or guarantees about its completeness, accuracy, reliability, security, or performance. They are not responsible for errors, delays, technical failures, lost communications, or unauthorized access. All implied warranties (merchantability, fitness for purpose, non-infringement, etc.) are disclaimed, except where prohibited by law.
10. Limitation on Liability
ASICS and its representatives are not liable for any damages (direct, indirect, incidental, punitive, or consequential), including profit loss, data loss, device damage, or work stoppage, even if foreseeable. Liability is capped at the amount actually paid to ASICS for the transaction underlying the claim.
EXCEPT AS MAY BE PROVIDED IN ANY ADDITIONAL TERMS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ASICS TOTAL LIABILITY TO YOU, FOR ALL POSSIBLE DAMAGES, LOSSES, AND CAUSES OF ACTION IN CONNECTION WITH YOUR ACCESS TO AND USE OF THE SERVICE AND YOUR RIGHTS UNDER THESE TERMS, EXCEED AN AMOUNT EQUAL TO THE AMOUNT YOU HAVE PAID ASICS IN CONNECTION WITH THE TRANSACTION(S) THAT UNDERLIE THE CLAIM(S).
11. Indemnity
In exchange for the right to participate in the Program, you agree to indemnify and defend ASICS and its representatives from any claims, losses, or liabilities arising from your User Content, Program use, breaches of Terms, legal violations, misrepresentations, or transmissions from your device. ASICS may control defense and settlement of such claims. This obligation survives termination.
12. General Provisions
A. Entire Agreement & Severability
These Terms (and any Additional Terms) are the complete agreement. If any provision of the Agreement, or any Additional Terms, is for any reason deemed to be invalid, unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from the Agreement or the Additional Terms, and the invalidity of the provision will not affect the validity or enforceability of the remainder of the Agreement or the Additional Terms and shall not affect the validity and enforceability of any remaining provisions and the remainder of the Agreement or Additional Terms will continue to remain in full force and effect.
B. Survival
The provisions of these Terms and any Additional Terms, which by their nature should survive the suspension or termination of your Membership or the Program itself, will survive any termination of this Agreement, including the proprietary rights and licenses you grant to us in these Terms, as well as the representations made by you, indemnities, releases, disclaimers, and limitations on liability and the general provisions regarding jurisdiction, choice of law, and no class action.
C. Assignment & Waiver
ASICS may assign its rights and obligations under these Terms and any Additional Terms, in whole or in part, to any party at any time without any notice. These Terms and any Additional Terms may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of an officer of ASICS. Failure to enforce rights is not a waiver.
D. Investigations & Termination
We reserve the right, without any limitation, to involve and cooperate with law enforcement authorities to investigate: (i) any suspected breaches of the Website’s security or its information technology or other systems or networks; (ii) any suspected breaches of these Terms and any Additional Terms; (iii) any information obtained by us in connection with reviewing law enforcement databases or complying with criminal laws; and (iv) to prosecute violators of these Terms and any Additional Terms. We reserve the right, without limitation, to discontinue the Program, in whole or in part, or, except as may be expressly set forth in these Terms or any Additional Terms, suspend or terminate your access to it, in whole or in part, including any user accounts or registrations, at any time, without notice, for any reason and without any obligation to you or any third party. Any suspension or termination will not affect your obligations to us under these Terms or any Additional Terms.
E. Linked Sites & Ads
Links to third-party sites are provided for convenience. ASICS does not endorse or control them and disclaims liability for third-party activities.
13. Jurisdiction, Disputes & Binding Arbitration
This Program and any dispute, claim, or matter arising out of or in connection with it, including its subject matter or formation, shall be governed by and construed in accordance with the laws of India. The courts at New Delhi shall have exclusive jurisdiction to adjudicate any such dispute or claim.
(i) Early Dispute Resolution: Whenever a Dispute arises between you and the Company, you and the Company agree to first send a written notice to the other (a “Demand”). You must send the Demand to the Company via certified mail to the Notice Address. The Company must send the Demand to you via certified mail to the most recent address the Company has on file for you (or by email if the Company only has an email address for you on file). A Demand (1) shall state the full basis for the Dispute (including the details about the Dispute sufficient for the recipient to review and respond) and the date that the Dispute arose; (2) shall provide the individual claimant’s full name, phone number, and email address to confirm their identity and to aid communication; and (3) shall be personally signed by the individual claimant or for the Company by its authorized representative (and not only their counsel, if any).
(ii) Arbitration Procedure: Unresolved disputes go to binding arbitration by the FICCI Arbitration and Conciliation Tribunal (FACT”) in accordance with the Arbitration Rules prescribed by FACT and shall be governed by Arbitration and Conciliation Act 1996, for the time being in force. The seat of the arbitration shall be in Delhi and each Party hereto is bound by the decision arrived at. However, this shall not apply to petitions for preliminary or temporary injunctive relief which may be brought in any court of proper jurisdiction
14. Communications & Notices
If you have any questions regarding the Program, you may contact Customer service. By becoming a Member of the Program, you consent to receive marketing, promotions, special events, and other communications from ASICS and its affiliates and agree that ASICS may contact you via mail, email, and other channels about marketing, special Program promotions, offers, surveys and more. You may opt out of or unsubscribe from marketing communications at any time by following the instructions in the communication you received from us. Please note that even if you opt out of receiving marketing or promotional communications, ASICS may still continue to send you transactional and other non-marketing or non-promotional emails, such as notices or communications about your Member Account, your Program Membership, order confirmations, or our ongoing business relations.
